TERMS OF SERVICE

Please read these Terms of Service (“Agreement” or “Terms”) carefully before using the Autopilot Platform. This Agreement is a legally binding contract between you (“User,” “Customer,” or “You”) and Autopilot Travel, Inc. (“Autopilot,” “We,” “Us,” or “Our”). By clicking “I Agree,” “Sign Up,” or “Get Started,” or by accessing or using any part of the Autopilot Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Platform.
This Agreement is entered into as of the date you first access or use the Platform (“Effective Date”), and your affirmative click or other electronic assent constitutes a valid and enforceable electronic signature under applicable law.
As used in these Terms, the following capitalized terms have the meanings set forth below.
“Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity.
“Authorized Traveler” means any individual whose Travel Reservation has been added to a Customer’s Account by the Customer.
“Authorized Traveler Reservation” means a Travel Reservation added to a Customer’s Account for an Authorized Traveler who is not the Customer
“Confirmation Code” means any confirmation number, reservation code, booking reference, Passenger Name Record (PNR), or similar identifier that permits Autopilot to access and manage a Travel Reservation on a Travel Provider’s systems.
“Fee” or “Service Fee” means the compensation owed to Autopilot for the Services, , unless an alternative rate applies under a Subscription Plan or promotional pricing.
“Hotel Commission” means any commission, referral fee, or similar compensation Autopilot or its Affiliates may earn from a hotel or online travel agency in connection with a hotel rebook performed as part of the Services, as more fully described in Section 6.
“Lower Fare” or “Lower Rate” means any reduction in the price, fare, or rate of a Travel Reservation identified by Autopilot through the Platform that meets or exceeds an applicable savings threshold.
“Payment Method” means the credit card, debit card, or other payment instrument you provide to Autopilot for the purpose of paying Fees and Subscription Plan charges.
“Platform” means Autopilot’s website located at https://www.withautopilot.com, its mobile applications, APIs, and all related tools, features, content, and services.
“Savings Amount” means the total monetary value of a refund, credit, or price reduction actually issued or applied by a Travel Provider in connection with a Travel Reservation, as determined by Autopilot in its reasonable discretion.
“Subscription Plan” means any paid subscription tier (including the “Pro” tier) offered by Autopilot from time to time, the specific terms and pricing of which are published on the Platform.
“Travel Provider” means any airline, hotel, car rental company, or other travel service provider with whom a Customer or Authorized Traveler has made a Travel Reservation.
“Travel Reservation” means any flight, hotel, car rental, or other travel booking associated with a Confirmation Code submitted to the Platform.
“User Content” means any information, data, or materials you submit to the Platform, including Confirmation Codes, account credentials, and communications with Autopilot.
Autopilot is a post-booking travel optimization service. When you provide a Confirmation Code, Autopilot uses proprietary automated systems and, where appropriate, human agents to monitor your Travel Reservation for price changes at periodic intervals determined by Autopilot in its sole discretion. If Autopilot identifies a Lower Fare or Lower Rate that meets the applicable savings threshold, , subject to change at Autopilot’s discretion, Autopilot may take one or more of the actions described in Section 3 below in an attempt to secure the lower price on your behalf. Autopilot does not guarantee that any particular action will be successful or that any savings will be obtained.
Autopilot monitors the price of your Travel Reservation using algorithmic systems and humans at periodic intervals. The frequency, methodology, and scope of monitoring are within Autopilot’s sole discretion and may change without notice. Monitoring does not guarantee detection of every available price reduction, and brief or transient price changes may not be captured.
When a qualifying Lower Fare or Lower Rate is identified, Autopilot may, without prior notice to you and using the authority granted under Section 3, take any combination of the following actions: contact the Travel Provider’s customer service personnel via telephone, live chat, email, or any other available channel; interact with the Travel Provider’s website, mobile application, or automated systems using your Confirmation Code or account credentials; request a fare adjustment, rate reduction, refund, credit, or travel voucher; cancel and rebook a hotel reservation at a lower available rate, which may result in the issuance of a new booking confirmation; modify seat assignments, meal preferences, ancillary services, or other reservation elements as necessary or incidental to obtaining savings; represent to the Travel Provider that Autopilot is acting as your authorized agent or, where operationally necessary and consistent with applicable law, identify itself as you or as your authorized representative for the limited purpose of managing your Travel Reservation; or take such other actions as Autopilot reasonably determines to be necessary or appropriate to provide the Services.
The specific methods and techniques Autopilot employs may evolve over time as Travel Provider policies, technology, and operational circumstances change. Autopilot retains full discretion to adapt its approach, and the actions enumerated above are illustrative rather than exhaustive.
The form of any savings realized through the Services depends entirely on the original booking type and the policies of the applicable Travel Provider. Holders of refundable tickets typically receive cash refunds to their original payment method, or an abatement of the original price. Holders of non-refundable tickets typically receive future travel credits or vouchers issued by the Travel Provider. Hotel repricing generally results in a reduction to the amount owed at check-in rather than a separate refund. Autopilot has no control over the form of savings a Travel Provider chooses to issue and makes no representations as to the form, availability, transferability, or value of any savings, credit, or voucher.
Autopilot has no commercial relationship, partnership, affiliation, or agency relationship with any Travel Provider. Autopilot acts solely as your agent and does not itself sell airline tickets, or issue refunds. All fare adjustments, refunds, credits, and rebookings are subject entirely to the discretion and policies of the applicable Travel Provider, and Autopilot bears no responsibility for any Travel Provider’s decisions.
By CREATING AN ACCOUNT, submitting a Confirmation Code, or adding a Travel Reservation to your Account, you hereby appoint Autopilot as your lawful agent and attorney-in-fact for the limited purpose of managing that Travel Reservation in accordance with these Terms. This appointment is: (a) coupled with an interest and therefore irrevocable for the duration that the applicable Travel Reservation is being monitored by Autopilot, subject only to the removal procedures described in Section 3.6; (b) limited in scope to actions reasonably necessary or appropriate to provide the Services as described herein; and (c) effective immediately upon submission of the Confirmation Code.
Your appointment of Autopilot as your agent includes, without limitation, the full authority to: access, view, and retrieve the details of your Travel Reservation from any Travel Provider system using your Confirmation Code or account credentials; communicate with Travel Provider personnel and automated systems via any available channel on your behalf; request, negotiate, and accept fare reductions, refunds, credits, vouchers, or other benefits on your behalf; cancel and rebook hotel reservations at lower available rates; modify seat assignments, meal preferences, ancillary services, or other reservation elements incidental to obtaining savings; provide your name, contact information, Confirmation Code, and other reservation details to Travel Providers as necessary to perform the Services; identify itself to Travel Providers as acting on your behalf or, where operationally necessary, as your authorized representative, for the limited purpose of managing your Travel Reservation; execute such representations and take such further actions as Autopilot reasonably determines are necessary to accomplish the foregoing; and delegate any or all of the foregoing authority to Autopilot’s employees, contractors, or automated systems.
You acknowledge that: (a) the specific actions Autopilot may need to take to perform the Services cannot always be predicted in advance and may vary depending on Travel Provider policies, system capabilities, and operational circumstances; (b) Autopilot’s methods and techniques may evolve over time; and (c) you intend your authorization to be construed broadly to enable Autopilot to take whatever actions are reasonably necessary or appropriate to provide the Services as described in these Terms, whether or not specifically enumerated in Section 3.2. No reasonable action taken by Autopilot in good faith pursuant to this authorization shall be deemed to exceed the scope of this agency.
By submitting any Travel Reservation to Autopilot, you represent and warrant that: (a) you are the named passenger or booker on the reservation, or you are duly authorized by the named passenger or booker to manage the reservation and to grant the agency described in this Section 3; (b) you have the legal capacity and authority to enter into these Terms; (c) your submission of the Confirmation Code does not violate any Travel Provider’s terms of service in a manner that would expose Autopilot to liability; and (d) all information you provide to Autopilot is accurate, current, and complete.
You may add Authorized Traveler Reservation to your Account for individuals other than yourself. By adding any Authorized Traveler Reservation, you expressly represent, warrant, and covenant to Autopilot that: (a) you have obtained the prior, express, and informed authorization of each Authorized Traveler to submit their Confirmation Code to Autopilot, to allow Autopilot to access and manage their Travel Reservation, and to delegate to Autopilot all authority described in Sections 3.1 and 3.2 above; (b) each Authorized Traveler has either reviewed and agreed to these Terms or has otherwise provided informed consent to the acts and omissions of Autopilot as described herein; and (c) you will promptly notify Autopilot if any Authorized Traveler revokes their consent, in which case you must also contact support to remove the affected reservation from your Account.
You agree to indemnify, defend, and hold harmless Autopilot and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your addition of any Authorized Traveler Reservation, any claim by an Authorized Traveler that they did not authorize you to submit their reservation or to grant the agency described herein, any inaccuracy in the representations you make under this Section 3.5, or any action taken by Autopilot in reliance on those representations.
You may revoke Autopilot’s agency with respect to a specific Travel Reservation at any time by contacting support to remove that reservation from your Account.. Revocation is effective when Autopilot confirms removal and does not affect any Services already performed, any Fees already accrued, or any actions already taken prior to the effective time of revocation. Revocation of agency does not entitle you to a refund of any Fees previously paid.
“Lowest Fare Guarantee” (LFG) is a product name and marketing designation used by Autopilot to describe its core fare monitoring and optimization service. The term “Guarantee” as used in the product name “Lowest Fare Guarantee” is a trade name and marketing term only. It does not constitute a guarantee, warranty, representation, or promise of any kind, whether express or implied, that the lowest available fare or rate will be identified or obtained; that any fare reduction, refund, credit, or savings will be achieved; that the fare or rate obtained will be the absolute lowest available in the market; or that any particular outcome will result from Autopilot’s services.
Whether a Lower Fare or Lower Rate is identified and whether a Travel Provider honors any request for a fare adjustment are matters entirely outside of Autopilot’s control. Travel Provider decisions are final as between you and the Travel Provider. Autopilot’s obligation is limited to making commercially reasonable efforts to identify and request available lower fares or rates on your behalf. No Service Fee is charged unless savings are actually realized and confirmed by the Travel Provider.
Autopilot’s standard Service Fee is calculated as a percentage of the Savings Amount realized on each Travel Reservation, at the rate set forth on the Platform and subject to change in accordance with Section 5.3. The Service Fee is calculated based on the gross Savings Amount as determined by Autopilot before any deductions. The Service Fee is charged only after savings have been confirmed by the applicable Travel Provider and is limited to savings actually received; Autopilot does not charge a fee on projected or anticipated savings.
Autopilot may offer Subscription Plans, including the “Pro” tier, that modify the applicable Service Fee percentage, provide additional features, or offer other benefits. The specific pricing, terms, features, and fees associated with each Subscription Plan are set forth on the Platform and are subject to change upon notice to subscribers. By subscribing to any Subscription Plan, you agree to the then-current terms applicable to that plan. In the event of a conflict between a Subscription Plan’s specific terms and these Terms, the Subscription Plan terms shall govern with respect to pricing and plan-specific benefits only.
Autopilot reserves the right to change its Service Fee percentage, minimum savings thresholds, Subscription Plan pricing, and other pricing terms at any time in its sole discretion, and may offer different pricing to different users in connection with promotions, A/B testing, experiments, or other business purposes. Autopilot will provide advance notice of any material change to the standard Service Fee applicable to your Account before the change takes effect. Your continued use of the Platform after the effective date of any such change constitutes your acceptance of the revised pricing.
You must provide a valid Payment Method accepted by Autopilot and keep it current at all times during your use of the Platform. Autopilot processes payments through Stripe, Inc. or another third-party payment processor designated by Autopilot from time to time. By providing your Payment Method, you authorize Autopilot and its payment processors to charge your Payment Method for all Service Fees and Subscription Plan fees incurred in connection with your Account. You represent and warrant that you are authorized to use the Payment Method you provide, that all payment information you supply is true, correct, and complete, and that you will promptly update your Payment Method information if it expires, is replaced, or otherwise changes.
You acknowledge and agree that Service Fees will be automatically charged to your Payment Method upon confirmation of savings, without the need for further authorization from you for each individual charge. Autopilot may pre-authorize your Payment Method in a nominal amount to verify its validity at any time before, during, or after the performance of Services. You further agree that you will not impose any spending limit, block, restriction, or other constraint on your Payment Method that would prevent Autopilot from collecting Service Fees that have been validly earned.
If Autopilot is unable to charge your Payment Method for any reason including without limitation card decline, expiration, spending limit, insufficient funds, account closure, chargeback, or any restriction you have voluntarily imposed you remain fully and unconditionally obligated to pay all accrued Service Fees. In such circumstances, Autopilot may: suspend your Account and access to the Platform until all outstanding amounts are paid in full; assess a late payment fee equal to the lesser of 1.5% per month on the outstanding balance or the maximum rate permitted by applicable law; refer your account to a third-party collections agency; or pursue legal action to recover all unpaid amounts. You agree to reimburse Autopilot for all reasonable costs of collection, including attorneys’ fees and court costs. You expressly acknowledge that Autopilot performs the Services in reliance on your agreement to pay the Service Fee upon realization of savings, and that restricting or disabling your Payment Method with the intent to avoid payment after Autopilot has performed Services and secured savings on your behalf constitutes a material breach of these Terms.
If you believe that a charge to your Payment Method is incorrect, you must notify Autopilot in writing within thirty (30) calendar days of the date of the charge by contacting support@withautopilot.com. Failure to dispute a charge within this period constitutes your final acceptance of the charge as accurate and valid, and you waive any right to contest it. Autopilot will investigate all timely submitted disputes in good faith and will issue credits or refunds where Autopilot determines they are warranted. You agree not to initiate a chargeback or payment dispute with your card issuer or bank without first contacting Autopilot and providing Autopilot not less than ten (10) business days to investigate and resolve the matter.
You are solely responsible for all sales, use, value-added, or other taxes assessed in connection with your use of the Platform or any savings obtained through the Services, except for taxes assessed on Autopilot’s net income. Where required by applicable law, Autopilot may collect and remit applicable taxes on your behalf.
6. HOTEL COMMISSION DISCLOSURE
When Autopilot cancels and rebooks a hotel reservation at a lower rate as part of the Services, Autopilot or its Affiliates may earn a Hotel Commission from the hotel property or an online travel agency in connection with the new booking. By agreeing to these Terms, you hereby acknowledge and consent to Autopilot’s receipt of such Hotel Commissions. The receipt of a Hotel Commission does not affect the Service Fee owed to Autopilot under Section 5, nor does it reduce the Savings Amount used to calculate that fee. Notwithstanding the foregoing, Autopilot’s primary obligation in all cases is to obtain the genuinely best available rate for your reservation, and Autopilot will not pursue a rebook at a rate that is not a legitimate improvement over your original booking solely for the purpose of earning a Hotel Commission.
You must be at least eighteen (18) years of age and legally capable of forming a binding contract under applicable law to register for or use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements.
You agree to provide accurate, current, and complete information during registration and to update your account information promptly whenever it changes. Autopilot may suspend or terminate any account that Autopilot reasonably believes contains false, outdated, or materially incomplete information.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not you authorized such activity. You agree to notify Autopilot immediately of any known or suspected unauthorized use of your account or any other breach of security. Autopilot will not be liable to you or any third party for any loss or damage arising from your failure to maintain adequate account security.
Each individual user may maintain only one active account on the Platform. Autopilot reserves the right to merge, suspend, or permanently terminate duplicate accounts at its sole discretion.
8. ACCEPTABLE USE
You agree to use the Platform only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree not to, and not to permit or encourage any third party to: submit false, fabricated, or fraudulent Confirmation Codes or account information; use the Platform in any manner that violates any applicable federal, state, local, or international law or regulation; interfere with or disrupt the integrity or performance of the Platform or the servers and networks connected thereto; attempt to gain unauthorized access to any portion of the Platform or any other account, system, or network; use any automated means, scraper, bot, crawler, or spider to access or interact with the Platform except as expressly authorized in writing by Autopilot; engage in any conduct designed to circumvent Autopilot’s billing systems or to avoid payment of validly owed Service Fees; reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Platform; use the Platform to engage in fraudulent conduct with any Travel Provider; or take any action that imposes an unreasonable or disproportionate burden on the Platform’s infrastructure.
Your use of the Platform is subject to Autopilot’s Privacy Policy, available at https://www.withautopilot.com/privacy, which is incorporated into these Terms by reference. The Privacy Policy describes how Autopilot collects, uses, shares, and protects information about you.
By submitting a Confirmation Code to the Platform, you authorize Autopilot to access, retrieve, store, and use all information associated with your Travel Reservation—including passenger names, itinerary details, fare information, and contact information for the purposes of providing the Services. Where a reservation includes multiple passengers, you represent that you are authorized to grant this access on behalf of all passengers listed on the reservation.
Autopilot implements commercially reasonable administrative, technical, and physical safeguards designed to protect User Content against unauthorized access, alteration, disclosure, or destruction. However, no security system is impenetrable, and Autopilot cannot guarantee the absolute security of your information. You acknowledge and accept this inherent risk in providing information through any internet-based service.
10. DISCLAIMER OF WARRANTIES
The Platform and Services are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Autopilot does not warrant that the Platform will be uninterrupted, secure, or error-free; that the Services will achieve any specific result; that any defect will be corrected; that any savings will be identified or obtained; or that the Platform or its servers are free of viruses or other harmful components. Some jurisdictions do not allow the exclusion of certain implied warranties; in such jurisdictions, Autopilot’s liability is limited to the fullest extent permitted by applicable law.
Autopilot expressly disclaims all liability for the acts, omissions, decisions, or policies of any Travel Provider, including without limitation any Travel Provider’s refusal to honor a lower fare, imposition of change fees, cancellation of a reservation, or modification of its refund or credit policies.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Autopilot and its Affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages including lost profits, loss of data, loss of goodwill, business interruption, or the cost of procuring substitute services arising out of or in connection with these Terms or your use of or inability to use the Platform, even if Autopilot has been advised of the possibility of such damages. In all events, Autopilot’s total aggregate liability to you for all claims arising out of or relating to these Terms or the Services, regardless of the theory of liability (contract, tort, strict liability, or otherwise), shall not exceed the greater of: (a) the total Service Fees actually paid by you to Autopilot during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars ($100.00). The limitations set forth in this Section are a fundamental element of the basis of the bargain between you and Autopilot, and Autopilot would not provide the Services absent such limitations. Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, Autopilot’s liability is limited to the fullest extent permitted by law.
12. INDEMNIFICATION
You agree to indemnify, defend (with counsel reasonably acceptable to Autopilot), and hold harmless Autopilot and its Affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, demands, damages, judgments, awards, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: your use of the Platform or Services; any User Content you submit; your violation of these Terms or applicable law; your violation of any rights of a third party; any Authorized Traveler Reservation you add to your Account; any misrepresentation you make regarding your authority to submit a Confirmation Code or to grant the agency described in Section 3; or any claim by an Authorized Traveler or Travel Provider arising from actions taken by Autopilot on your behalf.
13. TRAVEL PROVIDER TERMS OF SERVICE
You acknowledge that your Travel Reservations are subject to the separate terms, conditions, and policies of the applicable Travel Provider, including rules governing fare changes, refunds, cancellations, and ticket modifications. By using the Platform, you represent that you have reviewed the relevant Travel Provider’s terms and that your use of Autopilot’s Services does not violate those terms in a manner that would expose Autopilot to liability or that would interfere with Autopilot’s ability to provide the Services. Autopilot does not undertake to determine whether the use of automated or agent-assisted fare monitoring complies with any particular Travel Provider’s terms of service, and you agree to indemnify Autopilot against any claims arising from your Travel Provider relationships.
14. MODIFICATIONS TO THE TERMS OF THIS PLATFORM
Autopilot reserves the right to modify these Terms at any time in its sole discretion. Autopilot will provide notice of material changes by posting the revised Terms on the Platform with an updated effective date and, for significant changes, by sending an email notification to your registered email address. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to any modification, your sole and exclusive remedy is to discontinue use of the Platform and close your account. Autopilot also reserves the right to modify, suspend, or discontinue any feature, function, or aspect of the Platform at any time, with or without notice, and without liability to you.
These Terms become effective on the date you first access or use the Platform and remain in effect until terminated in accordance with this Section 15.
You may close your account at any time by through the platform settings menu in the App or by contacting Autopilot support at support@withautopilot.com. Account closure does not relieve you of any payment obligations that accrued prior to the effective date of closure.
Autopilot may suspend or terminate your account and access to the Platform at any time, with or without cause and with or without notice, for reasons including but not limited to: (i) violation of these Terms; (ii) failure to pay any Service Fee or Subscription Plan charge when due; (iii) suspected fraudulent, abusive, or illegal activity; (iv) extended periods of account inactivity; or (v) business reasons, including a decision to discontinue the Platform.
Upon termination of your account for any reason: your license to use the Platform terminates immediately; Autopilot will cease monitoring your Travel Reservations; all accrued payment obligations survive termination; and the following Sections shall survive indefinitely: 1, 5, 6, 10, 11, 12, 15.4, 16, 17, 18, and 19.
Before initiating any formal legal proceeding, you agree to contact Autopilot by email at legal@withautopilot.com and attempt in good faith to resolve any dispute informally for a period of not less than thirty (30) calendar days from the date of your notice. Autopilot will reciprocate this obligation. This informal resolution period is a condition precedent to arbitration or litigation.
Please read this Section carefully. It significantly affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.
Except for disputes that may properly be brought in a small claims court of competent jurisdiction and except as set forth in Section 16.5, all disputes, claims, or controversies of any kind arising out of or relating to these Terms, the Privacy Policy, the Platform, or the Services, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal or equitable theory, shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, as modified by these Terms. Arbitration shall be conducted by a single neutral arbitrator and, unless both parties agree otherwise, shall take place in the county of New York, State of New York The arbitrator’s award shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.
You waive the right to bring or participate in any class action, collective action, or representative proceeding, whether in arbitration or in court. All disputes must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator shall have no authority to consolidate more than one person’s claims or to preside over any class or representative proceeding.
These Terms and any non-arbitrated disputes shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. For any claim or dispute not subject to arbitration under this Section 16, each party irrevocably consents to the exclusive personal jurisdiction and venue of the state and federal courts located in New York County, New York.
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the resolution of a dispute through arbitration, without first satisfying the informal resolution requirement of Section 16.1.
17. INTELLECTUAL PROPERTY
The Platform and all of its content and components, including software, algorithms, text, graphics, logos, trademarks, service marks, trade dress, and other materials, are owned by or licensed to Autopilot and are protected by applicable intellectual property, unfair competition, and other laws. Subject to your full compliance with these Terms, Autopilot grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal, non-commercial purposes. You may not reproduce, distribute, modify, adapt, create derivative works based upon, publicly display, sell, transfer, or otherwise exploit any part of the Platform or its content without Autopilot’s prior express written consent.
18. THIRD-PARTY SERVICES AND LINKS
The Platform integrates with and may link to third-party services, including Stripe, Inc. for payment processing. All such third-party services are governed solely by their own terms of service and privacy policies. Autopilot does not control any third-party service and is not responsible for the availability, accuracy, content, or practices of any third party. Your use of Stripe is subject to the Stripe Connected Account Agreement available at https://stripe.com/legal. Autopilot encourages you to review the terms and privacy policies of any third-party services you use in connection with the Platform.
These Terms, together with the Privacy Policy and the terms of any applicable Subscription Plan, constitute the entire agreement between you and Autopilot with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, negotiations, representations, and understandings, whether oral or written, between the parties concerning that subject matter.
If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms shall continue in full force and effect. Notwithstanding the foregoing, if the class action waiver set forth in Section 16.3 is found to be unenforceable in any proceeding, the entirety of the arbitration agreement in Section 16.2 shall be null and void with respect to that proceeding.
Autopilot’s failure or delay in exercising any right, power, or remedy under these Terms shall not constitute a waiver of that right, power, or remedy, nor shall any single or partial exercise of any right, power, or remedy preclude its further exercise or the exercise of any other right, power, or remedy.
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without Autopilot’s prior written consent. Any purported assignment in violation of this Section is null and void. Autopilot may freely assign its rights and obligations under these Terms, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, without your consent.
Autopilot shall not be in breach of these Terms and shall not be liable for any failure or delay in the performance of its obligations caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics, epidemics, government orders, war, terrorism, civil unrest, labor disputes, internet or telecommunications outages, or failures of Travel Provider systems. Autopilot will resume performance as soon as reasonably practicable following the cessation of the force majeure event.
Autopilot may provide notices to you via email to your registered email address, via in-Platform notification, or by posting to the Platform, any of which constitutes effective notice. Notices to Autopilot must be delivered by email to legal@withautopilot.com or by certified mail, return receipt requested, to:

Notices are deemed received by Autopilot upon actual receipt.
By using the Platform, you consent to receive communications from Autopilot by electronic means, including email, push notification, or in-app message. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any requirement under applicable law that such communications be in writing.
The relationship between you and Autopilot is that of principal and agent solely with respect to the management of Travel Reservations in accordance with Section 3. Nothing in these Terms shall be construed to create a partnership, joint venture, employer-employee, or franchise relationship between the parties.
Section headings are included for convenience only and shall not affect the interpretation of these Terms.
